Terms of Service

1. Acceptance of Terms

By creating an account or using the Premise platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using Premise on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized use of your account
• You are responsible for all activity that occurs under your account
• You must be at least 16 years old to use the platform

3. Use of the Platform

Permitted Use

Premise is an organizational intelligence platform. You may use it for lawful business purposes in accordance with these Terms.

Prohibited Use

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the platform or its systems
• Interfere with or disrupt the integrity or performance of the platform
• Reverse engineer, decompile, or disassemble any part of the platform
• Use automated means to access the platform except through our published APIs
• Upload content that infringes intellectual property rights or contains malware
• Resell, sublicense, or redistribute access to the platform

4. Workspace & Data Ownership

You retain all rights to the content you create and upload to Premise. By using the platform, you grant us a limited license to process, store, and display your content solely for the purpose of providing and improving our services.

Workspace administrators are responsible for managing access and permissions within their workspace. When a workspace is deleted, all associated data is permanently removed.

5. AI Features & Organizational Intelligence

Premise includes AI-powered features including Organizational Intelligence (OI), meeting transcription, and content analysis. By using these features:

• You acknowledge that your workspace data may be processed by third-party AI providers (OpenAI, Google) for the purpose of delivering AI features
• AI-generated responses are provided as suggestions and should not be relied upon as the sole basis for business decisions
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content
• You are responsible for reviewing and validating AI-generated outputs

6. Third-Party Integrations

Premise integrates with third-party services such as Slack, GitLab, GitHub, Jira, Linear, Confluence, Notion, Salesforce, and others. Your use of these integrations is subject to the respective terms and privacy policies of those services. We are not responsible for the practices or content of third-party services.

7. Intellectual Property

The Premise platform, including its design, code, features, and documentation, is the property of Premise Inc. and is protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets without prior written consent.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the platform for maintenance, updates, or security reasons. We will make reasonable efforts to provide advance notice of planned downtime.

9. Limitation of Liability

To the maximum extent permitted by law, Premise Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the platform.

Our total liability for any claims arising from your use of the platform shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

You may terminate your account at any time by deleting your workspace and account. We may suspend or terminate your access if you violate these Terms or engage in behavior that harms the platform or other users.

Upon termination, your right to use the platform ceases immediately. We will delete your data in accordance with our Privacy Policy.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the platform after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
